SERVICE LEVEL AGREEMENT (SLA)
FOR ComboTrader
BETWEEN
KITOVU TECHNOLOGY COMPANY
And
The Partner(s)
This Service Level Agreement (SLA) is valid from the day the Registration and Agreement form is filled.
BETWEEN KITOVU TECHNOLOGY COMPANY, a limited liability company incorporated under the laws of the Federal Republic of Nigeria with its registered office at Kitovu Business Hub, Iseyin-Saki Expressway, Sawmill Area, Oyo State, Nigeria (hereinafter referred to as “Kitovu, ” whose expression shall, where the context so permits, include its successors in title and assign).
AND
Our partner, a legal person whose address is dully filled into the (hereinafter referred to as “Partner”, whose expression shall, where the context so permits, include their successors in title and assign).
Kitovu and Partner are herein jointly referred to as ‘the Parties’ and severally as ‘the Party’.
WHEREAS:
- Kitovu is a privately held agricultural technology company building climate-smart farm and post-harvest infrastructure that enables smallholder farmers in distant pocket locations to access personalized agronomic advisory, storage, and market access services. They provide a mechanism known as ComboTrader, which allows any legal person to buy, store, and sell agricultural commodities and make returns therefrom.
- The Partner is a legal person who has indicated an interest and is willing to subscribe to ComboTrader
- The parties hereto agree to go into a contract according to the terms and conditions hereunder set forth
- INTERPRETATIONS
In this service level agreement (SLA), the following terms shall have the meanings set forth below. Unless the context otherwise requires, the interpretations and meanings hereunder provided shall apply in this agreement:
1.1 Partner: Any legal person engaging Kitovu’s services under this agreement.
1.2. Legal Person: Any individual or entity that has the capacity to hold rights and obligations under the law, who can enter into contracts, own property, sue or be sued, and incur debts and liabilities
1.3 ComboTrader: A service whereby Partners trade using capital in commodity trading through Kitovu, with agreed returns at maturity (4, 6, 9, or 12 months).
1.4. Storage Services: The safekeeping of commodities in Kitovu’s storage facilities for a Partner, where Kitovu acts as an agent.
1.5 Aggregation Services: The process by which Kitovu collects, aggregates, and stores commodities on behalf of a Partner, who retains ownership of the commodities.
1.6 Returns: The agreed Return on Investment (ROI) provided under the ComboTrader arrangement.
1.7 Act of God: Natural disasters or unforeseeable events such as floods, earthquakes, or other events beyond human control.
1.8 Force Majeure: Any event beyond the control of the parties that prevents either party from fulfilling its obligations under the SLA, including but not limited to war, pandemics, terrorism, labor strikes, or government restrictions.
1.9 Business Continuity Plan (BCP): A set of policies and procedures implemented by Kitovu to ensure the continuity of critical business operations during and after a disruption.
1.10 Negligence: Failure by Kitovu to exercise reasonable care, which results in avoidable loss or damage to the Partner’s commodities or investment.
1.11 Critical Issue: Any situation that threatens the Partner’s financial investment, the security of stored commodities, or the legal standing of the agreement.
- PURPOSE
This SLA outlines the terms, conditions, and expectations between Kitovu Technology Company (“Kitovu”) and its Partners (“Partner”) for the provision of services related to commodity trading, storage, aggregation, and market facilitation. This agreement defines the roles, responsibilities, performance standards, and service guarantees that ensure the smooth operation of Kitovu’s offerings.
- COMMENCEMENT AND DURATION
3.1. The SLA shall be deemed active and binding from the date of execution of this agreement. The SLA may be extended, renewed, or amended for additional terms by Kitovu, as it becomes necessary, provided that the amended terms do not alter or affect the Partner’s current subscription, contract duration, or hitherto agreed monetary return.
3.2. The renewal terms shall commence on the conclusion of the initial term unless terminated by the provisions of this agreement;
3.3. Where modification to the current subscription is necessary, Kitovu shall communicate to the Partner in writing, stating the areas of modification, and justifying why such modification is necessary.
4. Scope of Services
4.1 Trade For You (Option 1)
Under this service, Kitovu will:
4.1.1. Receive capital from Partner to use in commodity trading.
4.1.2. Pay back the principal along with the agreed ROI upon the maturity of the trading period.
4.1.3. The trading period shall be 4 months, 6 months, 9 months, and 12 months respectively.
4.1.4. The Partner shall have the obligation to choose from the trading period as contained in (4.1.3) for which they want Kitovu to trade for them.
4.1.5. The minimum amount acceptable for trading shall be determined by Kitovu, taking into account the market dynamics and price trajectory.
4.1.5. In the event of unpreventable losses arising from price volatility, Kitovu shall compensate the Partner with 50% of the initial capital. The expected returns shall not apply.
4.1.6. Kitovu shall provide full insurance coverage for all commodities under its responsibility during the trading period.
4.2 Storage Services (Option 2)
Under this service, Kitovu will be responsible for the following:
4.2.1. Purchase and store commodities on behalf of the Partner, acting as an agent.
4.2.2. Ensure that commodities are stored in secure, optimal conditions.
4.2.3. Charge a monthly storage fee of N3,000 per ton.
4.2.4. Take full responsibility for loss due to negligence, paying compensation for the full value of commodities if they are lost or destroyed.
4.2.5. Limit liability to insurance compensation in cases of force majeure or acts of God.
4.2.6. Where Partner requires Kitovu to facilitate the sale of the stored commodities, Kitovu shall receive a service charge which shall be determined and communicated to Partner who shall ensure that the amount is paid within 24 hours of the completion of service.
4.2.7. For the avoidance of doubt, Kitovu shall be construed to have completed the rendering of its service under the terms in (4.2.6), the moment Partner has been linked with an off-taker and sale is made.
4.2.8. Under the terms of service as stipulated in this scope of service, Kitovu shall not be liable for the profitability or loss arising from or relating to the sale of the commodities, price fluctuation, logistics challenges, or any of the challenges that may occur outside the purchase and storage of the commodities for which Kitovu takes responsibility.
4.3 Aggregation and Sales Services (Option 3)
Under this service, the following terms and obligations shall apply:
4.3.1. Kitovu shall aggregate commodities for the Partner and facilitate the sale of such commodities.
4.3.2. Kitovu shall avail the Partner of useful information about off-takers, prevailing price, and the profitability or otherwise of any proposed trade.
4.3.3. Kitovu shall conduct a market analysis, carry out a price survey, and inform the Partner of the profitability or otherwise of selling any particular commodity at a given point in time.
4.3.4. Partner shall give approval via mail for any trade to go through, and Kitovu shall facilitate the sale following Partner’s instruction.
4.3.5. Kitovu shall charge a commission for services rendered, payable irrespective of profit or loss from the sale, provided that the sale is sanctioned by Partner
4.3.6. Kitovu shall not be responsible for market risks, such as price volatility or failure to sell commodities.
4.3.7. Any risks after aggregation are borne by the Partner, except for losses due to Kitovu’s negligence.
5. Service Availability and Uptime
Kitovu guarantees service availability during standard business hours (9:00 AM to 5:00 PM, Monday to Friday), with digital access to market information available 24/7. Any planned downtimes for maintenance or other disruptions will be communicated in advance to the Partner. Kitovu ensures 99% uptime for its platforms and digital tools for accessing real-time commodity updates, tracking, and transaction histories.
In the event of service outages, Kitovu will restore access within 24 hours of identifying the issue.
6. Service Performance Standards
Kitovu is committed to providing high-quality services, measured by the following Key Performance Indicators (KPIs):
6.1. Timeliness: Transactions and commodity trades will be executed within 48 hours of the Partner’s request.
6.2. Storage Quality: Commodities stored will be maintained under optimal environmental conditions based on the type and nature of the commodity.
6.3. Market Access: Kitovu will provide real-time market data and pricing updates, with no more than a 48-hour delay in reflecting price changes.
7. Partner Support and Response Times
Kitovu offers Partner support through email, phone, and online platforms during business hours. Response times for various issues are as follows:
7.1. Critical Issues (commodity loss, major disputes): Response within 6 hours.
7.2. Standard Issues (inquiries about trading status): Response within 24 hours.
7.3. General Inquiries: Response within 48 hours.
8.4. Kitovu will endeavor to resolve most Partner issues within 5 business days, depending on the complexity of the issue.
8. Insurance and Liability
8.1. Kitovu will maintain insurance coverage for commodities under its control, covering risks such as theft, fire, and other potential damages.
8.2. In the event of negligence or failure by Kitovu to meet its responsibilities, Kitovu’s liability will be limited to the full value of the commodities or the principal sum lost due to such negligence.
8.3. Kitovu will not be held liable for market fluctuations, trading risks, or losses resulting from force majeure or acts of God, beyond the compensation provided by its insurance coverage.
8.4. In the event of unpreventable loss under the ComboTrader arrangement, Kitovu will compensate the Partner with 50% of the initial capital invested.
9. Compliance and Regulatory Standards
Kitovu shall ensure that its services comply with all applicable laws and regulations, including but not limited to the Central Bank of Nigeria’s (CBN) regulations on financial transactions, commodity trading standards, and anti-money laundering (AML) regulations. Kitovu will also adhere to relevant international regulations. Any regulatory changes affecting this agreement will be communicated promptly to the Partner.
10. Data Protection and Privacy
10.1 Kitovu shall commit to protecting the confidentiality and integrity of Partner data.
10.2. All personal, financial, and business data will be handled in compliance with data protection laws, including the Nigeria Data Protection Regulation (NDPR).
10.3. Kitovu shall not share or disclose Partner data without consent, except as required by law.
10.4. In the event of a data breach that compromises Partner information, Kitovu will notify the Partner within 72 hours and cooperate fully in resolving the issue.
- Force Majeure and Business Continuity
11.1. Kitovu shall not be liable for any failure to fulfill its obligations under this SLA if such failure is caused by events beyond its reasonable control, including but not limited to force majeure events such as natural disasters, war, pandemics, or government actions.
11.2. In such cases as contained in (10.1) above, Kitovu will activate its Business Continuity Plan (BCP) to mitigate the impact of the disruption and restore services as soon as possible, and the Partner will be informed within 3 working days of the force majeure event and Kitovu’s response plan.
12. Termination and Exit Strategy
12.1. Either party may terminate this agreement with 30 days written notice, provided that all obligations under existing services are fulfilled.
Upon termination:
12.2. The Partner will receive a final statement summarizing any investments or commodities still under Kitovu’s management.
12.3. Kitovu will facilitate the return of stored commodities to the Partner within 10 business days of termination.
12.4. Any outstanding ROI, fees, or commissions will be paid to the Partner, or owed to Kitovu, at the end of the next full maturity period.
- SEVERABILITY
If any term or provision of this is determined to be illegal, unenforceable, or invalid in whole or in part for any reason, such illegal, unenforceable, or invalid provisions or part(s) of the same shall be stricken from this Agreement, and such provision shall not affect the legality, enforceability, or validity of the remainder of this Agreement, and the stricken provision shall be replaced, to the extent possible, with a legal, enforceable, and valid provision that is as similar in tenor to the stricken provision as is legally possible.
14. Amendments
Any amendments to this SLA must be agreed upon in writing by both parties and attached as an addendum to this agreement.
15. Governing Law and Dispute Resolution
This SLA shall be governed by and construed in accordance with the laws of [Insert Jurisdiction]. Any disputes arising from or related to this SLA shall be resolved through good faith negotiations. If negotiations fail, the dispute shall be settled through arbitration in Oyo State, with the arbitration decision being final and binding on both parties.
16. Acceptance
By filing the Registration and Agreement form, both parties agree to the terms and conditions of this SLA.
